Terms of Use

1. Introduction
Welcome to Onyrix (the “Platform”), operated by Onyrix B.V., a company registered in the Netherlands (KvK registration pending), with its registered office in Eindhoven, the Netherlands (“Onyrix”, “we”, “us”, or “our”).
By accessing or using the Platform, including our website, mobile applications, and related services, you (“User” or “you”) agree to be bound by these Terms of Use. If you do not agree, please refrain from using the Platform.
2. Eligibility
You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account or use the Platform. By using the Platform you represent that you meet these requirements.
3. Account Registration
Certain features of the Platform require you to register an account. You agree to provide accurate, current, and complete information and to keep your credentials confidential. You are solely responsible for all activity that occurs under your account.
4. Services
Onyrix provides a platform connecting independent jewelry designers (“Creators”) with customers (“Designers”) who wish to co-create custom, AI-assisted jewelry designs. Our services include but are not limited to:
- AI-powered design tools and concierge assistance;
- A marketplace showcasing Creator collections;
- Order management, prototyping, and fulfillment facilitation;
- Communication tools between Creators and Designers.
5. Intellectual Property
All content on the Platform, including but not limited to text, graphics, logos, images, software, and AI-generated outputs, is the property of Onyrix or its licensors and is protected by intellectual property laws of the European Union and international treaties.
Creators retain ownership of their original designs submitted to the Platform. By uploading content, Creators grant Onyrix a non-exclusive, worldwide, royalty-free license to display, promote, and distribute such content solely in connection with the Platform.
6. Payments & Pricing
Prices displayed on the Platform are in Euros (€) unless otherwise stated and include applicable VAT in accordance with EU Directive 2006/112/EC. Payment processing is handled by third-party payment service providers (e.g., Stripe). Onyrix does not store your full payment card details.
7. Right of Withdrawal
Under Directive 2011/83/EU (Consumer Rights Directive), EU consumers have a 14-day right of withdrawal for online purchases. However, this right does not apply to custom-made or personalised goods (Article 16(c)). As jewelry produced through the Platform is custom-designed to your specifications, the right of withdrawal may not apply once production has commenced.
For standard, non-customised items purchased from Creator collections, the 14-day withdrawal period applies from the date you receive the goods. To exercise this right, please contact us at legal@onyrix.com.
8. Limitation of Liability
To the fullest extent permitted by applicable law, Onyrix shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the use of the Platform. Our total aggregate liability shall not exceed the amount you have paid to Onyrix in the twelve (12) months preceding the claim.
Nothing in these Terms shall limit liability for death or personal injury caused by negligence, fraud, or any other liability which cannot be excluded under applicable EU or Dutch law.
9. Prohibited Conduct
- Using the Platform for any unlawful purpose;
- Infringing upon the intellectual property rights of others;
- Attempting to reverse-engineer or extract source code;
- Transmitting harmful code, spam, or malicious content;
- Circumventing any security or access-control features of the Platform.
10. Termination
We may suspend or terminate your access to the Platform at any time, with or without cause, and with or without notice. Upon termination, your right to use the Platform ceases immediately. Provisions that by their nature should survive termination shall remain in effect.
11. Governing Law & Dispute Resolution
These Terms are governed by the laws of the Netherlands, without regard to conflict-of-law principles. Any disputes arising from these Terms shall be submitted to the exclusive jurisdiction of the courts of Eindhoven, the Netherlands.
EU consumers may also access the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
12. Changes to These Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated via the Platform or by email at least 30 days before they take effect. Your continued use of the Platform after such changes constitutes acceptance.
